Terms of Service & Conditions

1. Electronic Acceptance

Clicking "buy", "checkout", "download", "accept", "I agree", linking your Discord or Whop account to Vertex Zens, or otherwise using any part of the service constitutes your electronic signature and acceptance of these Terms. No physical signature, written confirmation, or further action is required to make this agreement binding.

You agree that records of your acceptance — including your account creation timestamp, your Whop checkout record, your Discord OAuth grant, your IP address, and any download or access log we keep — are admissible evidence of acceptance in any dispute.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction (whichever is greater), to purchase from Vertex Zens. By purchasing you represent and warrant that you meet that age requirement, that you are legally capable of entering into a binding contract, and that you are not barred from receiving the service under the laws of your country, state, or province.

You may not purchase or use the service on behalf of a minor. If we become aware that a member is under the required age, we will terminate the account and may, in our discretion, refund or void any associated purchase.

3. License Agreement (You Are Buying a License, Not the Code)

Every Vertex Zens purchase — Standard, VIP, Ultimate, Vertex MLB 26, Green AI, lifetime upgrades, and any future tier — grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to USE the scripts, configurations, AI-tuned outputs, prompts, models, dashboards, downloads, and supporting tools made available to your tier, strictly for your own personal, single-user, non-commercial use on a Cronus Zen device that you personally own.

You are not buying the script. You are not buying the GPC source. You are not buying the AI prompts, the tuning models, the value sets, or any derivative work. You are purchasing access to USE them, for as long as your tier remains active and you remain in good standing.

All right, title, and interest — including all copyrights, trade secrets, trademarks, patents, AI training data, model weights, prompt engineering, custom value libraries, and any improvement, modification, derivative, or output generated from our systems — remains the sole and exclusive property of Vertex Zens. Nothing in these Terms transfers ownership of any code, asset, or intellectual property to you.

This license terminates automatically — without notice and without refund — the moment you breach these Terms, the EULA, the Fair Play Policy, or any rule applicable to a Vertex Zens product.

4. Intellectual Property Ownership

The Vertex Zens name, logo, neon-blue "VZ" mark, brand identity, color palette, copy, screenshots, video footage, and the design of vertexzens.com are owned by Vertex Zens and protected by copyright, trademark, and unfair-competition law.

Every script published on Vertex Zens — free or paid, original or AI-tuned — is a copyrighted work owned by Vertex Zens. The fact that an individual script may be offered for free download does not place it in the public domain and does not grant any redistribution, modification, mirror, repackage, or rebranding right.

Any AI-generated, AI-tuned, or AI-personalized output produced by Auto Tune V3, Green AI, or any future Vertex Zens AI feature is a derivative work of our underlying scripts, prompts, and models, and is owned by Vertex Zens. The license you receive in Section 3 covers your personal use of that output under the same terms as the underlying script.

5. Scripts Library Rules

These rules govern every interaction with the /scripts library — browsing, previewing, downloading, sharing, AI-tuning, mirroring, and re-distributing — for both free and paid tiers. Violating any rule in this section is a material breach of these Terms and the EULA, and triggers the consequences listed in Section 22 (Termination & Consequences).

5.1 Account-bound access. Every account is for one human being. Access (login, Discord role, Whop membership, download token) is non-transferable, non-shareable, and tied to the email, Discord ID, Whop user ID, IP address, and device fingerprint that originally claimed it. You may not lend, sell, gift, rent, lease, time-share, transfer, or otherwise allow any other person to use your account.

5.2 Per-user .gpc watermarking. Every .gpc file served from Vertex Zens — whether downloaded directly, served through a LootLabs locker, or produced by Auto Tune V3 — is individually watermarked with a unique identifier tied to the requesting account or visitor. Watermarks are appended as standard GPC line comments and do not affect script execution. They are deliberate, lawful, and disclosed here. They form a chain of custody: if a Vertex Zens script ever appears outside of our authorized channels, the watermark identifies the account that received that copy.

5.3 No tampering with the watermark. You may not strip, alter, obfuscate, comment-strip, regenerate, or attempt to detect and remove any watermark embedded in any file we serve. Any attempt to do so is itself a separate breach of these Terms regardless of whether redistribution occurred.

5.4 No redistribution, leaking, reselling, mirroring, or rehosting. You may not — in whole or in part, modified or unmodified, watermark intact or stripped — upload, mirror, post, paste, share, gift, sell, resell, sublicense, torrent, embed, link to a copy of, or otherwise make available any Vertex Zens script, value set, prompt, AI output, guide, or paid asset. This applies to every channel without exception, including but not limited to: GitHub, GitLab, Pastebin, Mediafire, Mega, Google Drive, Dropbox, Discord servers other than the official Vertex Zens server, Telegram, Reddit, forums, YouTube descriptions, TikTok comments, marketplace listings, "Cronus Zen leaks" sites, and private group chats.

5.5 No rebranding. You may not change the watermark, header, comments, file name, or any branding inside a Vertex Zens script and present it as your own work or as the work of any third party. The /agents/skills/gpc-rebrand workflow we publish is solely for our own owner-led white-label use of source files we license; it does not authorize you to rebrand anything we serve to you.

5.6 Tier-gated downloads. Access to a script is determined by its tier (Free, Standard, VIP, Ultimate) and the active tier on your account at the moment of download. Attempting to access a higher-tier script through any technical workaround — direct URL guessing, token replay, cookie manipulation, parameter tampering, scraping, automation, the developer panel, or social engineering — is strictly prohibited.

5.7 LootLabs / locker bypass prohibited. Free scripts on Vertex Zens are made available behind a LootLabs locker because that revenue keeps the free tier alive. You may not bypass, automate, click-fraud, share intermediate tokens, mirror the unlocked file, post locker-bypass guides, or otherwise circumvent the locker. Doing so is treated as a paid-tier breach.

5.8 AI-tuned output rules. Output from Auto Tune V3, Green AI, or any future Vertex Zens AI feature is licensed to you under the same terms as the underlying source script. You may not export, share, post, or publish AI-tuned output (with or without the watermark) outside of your own personal Cronus Zen device. Bulk-generating AI output for redistribution is expressly forbidden.

5.9 Free-tier abuse. The free tier exists to let real users try our work. Creating multiple accounts to scrape free downloads, automating the download endpoint, sharing free-tier login credentials, or using bots to harvest the catalog is treated as abuse and may result in IP and device blacklisting from both free and paid tiers.

5.10 No commercial exploitation. You may not use any Vertex Zens script, AI output, or asset to provide a paid service to any third party, to compete with Vertex Zens, to train a third-party AI model, or to create a derivative product or library — paid or free.

5.11 Reverse engineering, scraping, and decompilation. You may not reverse engineer, decompile, disassemble, scrape, harvest, or programmatically index our website, our scripts, our prompts, our models, or our APIs except to the limited extent that applicable law expressly forbids that restriction.

6. Per-User Watermark — Chain of Custody Evidence

Watermarks are not just deterrents — they are evidence. If a Vertex Zens script appears outside our authorized channels, we will use the watermark, our download logs, our payment records, and our account records to identify the responsible account.

By using the service you consent to the watermarking of every file we serve to you, and you agree that the watermark, the corresponding download log entry, and any associated identity, IP, payment, and Discord record may be used as evidence in any internal disciplinary action, payment-processor dispute, DMCA filing, civil claim, or legal proceeding arising out of redistribution.

Modifying or attempting to remove the watermark does not delete the corresponding log entry on our servers and does not absolve responsibility.

7. Account Security & Account-Bound License

You are solely responsible for keeping your account credentials, email inbox, Discord account, and Whop account secure, and for every action taken on or through your account. Activity logged against your account is presumed to be your activity unless you can demonstrate otherwise.

If your account is compromised, notify us at vertexzens@gmail.com immediately. We may temporarily suspend the account while we investigate. We are not liable for any loss caused by a compromise we were not given the opportunity to act on.

Your license is bound to your account. You may not split your license across people, transfer it to another account, or sell or assign it. Attempting any of those is a void transfer and a breach of these Terms.

8. Standard, VIP, Ultimate & Single-Product Access

Upon successful payment through Whop, you receive immediate access to the Vertex Zens content available to your tier at the moment of purchase. No individual script selection or custom delivery occurs; the service is library access, not the sale of a specific file.

Catalog content is dynamic. Scripts may be added, removed, retuned, re-tiered, archived, or replaced at any time. We do not guarantee that any specific script will remain in the catalog, retain its current behaviour, or be ported to a future game patch. The continuing value of the service is the library and the AI tooling as a whole, not any single asset.

You are responsible for confirming compatibility with your console, controller, game version, and Cronus Zen firmware before purchasing. Once access is granted, no refunds or cancellations will be issued for any reason — see Section 10 and the Refund & Dispute Policy.

9. Acceptable Use

You agree not to use the service to: violate any law; harm or harass another person; bypass, disable, or interfere with any security, rate-limit, or moderation feature of the site, our Discord, or Whop; transmit malware or malicious code; impersonate Vertex Zens or any staff member; spam our channels; misrepresent your tier; or engage in any conduct that disrupts the service for other members.

We may, at our sole discretion, remove content, restrict access, suspend an account, ban a user from Discord, or revoke a tier for any conduct we determine — in our reasonable judgement — to violate these Terms or the spirit of the community.

10. All Sales Are Final

Because every Vertex Zens product is a digital good — specifically, a license to access a content library that is delivered immediately upon payment — all purchases are final, non-refundable, and non-exchangeable. No refunds, partial refunds, store credit, exchanges, or cancellations will be issued for any reason. This includes but is not limited to: change of mind, accidental purchase, forgetting to cancel before renewal, dissatisfaction with results, perceived under-performance, console / firmware / patch incompatibility, anti-cheat action by a third party, or loss of access caused by your own breach.

By completing checkout you waive any right to a refund or chargeback that you might otherwise assert under any consumer-protection statute that allows waiver, to the maximum extent permitted by law.

11. Chargebacks & Payment Disputes

Initiating a chargeback, dispute, reversal, or "item not received" claim with your bank, card issuer, PayPal, or any payment provider is a material breach of these Terms. Because the product is delivered immediately and we keep proof of delivery, we treat every chargeback as fraudulent.

Consequences of a chargeback include: immediate, permanent revocation of access to every Vertex Zens product, script, tool, AI feature, and Discord role tied to the account, email, IP, payment method, Discord ID, or device involved; permanent blacklist from all current and future Vertex Zens products, including free downloads; submission of the dispute to the payment processor with our purchase, IP, watermark, download, and access logs as evidence; and recovery of any chargeback fee, processing penalty, or collection cost imposed on Vertex Zens through a collections agency or small-claims court at our discretion.

If you believe a charge is incorrect, contact vertexzens@gmail.com or open a Discord support ticket BEFORE contacting your bank. Most issues are resolvable in minutes; a chargeback removes our ability to help you.

12. No Warranties & No Guarantees

All scripts, values, AI features, downloads, guides, dashboards, Discord support, and any other component of the service are provided "AS IS" and "AS AVAILABLE" with no warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Vertex Zens disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy, completeness, quiet enjoyment, title, and non-infringement.

Without limiting the above, Vertex Zens specifically does NOT guarantee any of the following:

• That any script, value, configuration, or AI output will work, perform, or feel a specific way for you

• That any script will remain compatible with future game patches, firmware updates, console updates, or controller revisions

• That any script will be undetected by, compatible with, or safe to use alongside any anti-cheat, matchmaking, ranking, reporting, or moderation system

• That use of our products will not result in account warnings, suspensions, bans, shadow-bans, removal of progression, removal of cosmetics, removal of in-game currency, or any other action by a game publisher, console maker, league, or platform

• That you will rank up, win more games, achieve any specific in-game result, or improve at any specific rate

• That the website, downloads, Discord, Auto Tune V3, or any service component will be uninterrupted, error-free, secure, or available at any specific time

• That updates, fixes, retunes, or new content will be released on any specific schedule, frequency, or at all

• That any human or AI-driven support response will solve your issue or be delivered within any specific timeframe

Any performance numbers, benchmarks, testimonials, screenshots, videos, or example footage shown on the site, in marketing material, in our Discord, or in third-party reviews are illustrative only and are not promises of the result you will personally experience.

You assume all risk associated with downloading, installing, configuring, and using Vertex Zens products. If you are not comfortable accepting that risk in full, do not purchase.

13. Limitation of Liability

To the maximum extent permitted by law, Vertex Zens, its owners, operators, contributors, contractors, moderators, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, opportunity, in-game progression, in-game currency, ranked standing, cosmetics, account standing, or platform privileges arising out of or relating to the service, the scripts, the AI features, the website, the Discord, or these Terms — even if Vertex Zens has been advised of the possibility of such damages.

In no event will Vertex Zens' total aggregate liability to you for any claim arising out of or relating to the service or these Terms exceed the amount you paid Vertex Zens in the thirty (30) days immediately preceding the event giving rise to the claim, or USD $50, whichever is lower.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Vertex Zens and its owners, operators, contributors, and partners from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms, the EULA, or any policy; (b) your misuse or unauthorized distribution of any Vertex Zens script or AI output; (c) any action a third party takes against you because of your decision to use a Cronus Zen device or any of our scripts; or (d) any content you submit to our Discord, support tickets, or any other Vertex Zens channel.

15. Third-Party Platforms & Devices

The Cronus Zen device is manufactured and sold by Collective Minds Gaming. Vertex Zens is not affiliated with, endorsed by, or sponsored by Collective Minds, Cronus, or any related entity, and we make no representations or warranties on behalf of any of them. Cronus Zen firmware updates may, at any time, change or break the behaviour of any script.

Console makers (Sony, Microsoft, Nintendo, Valve, etc.), game publishers (Activision, EA, Take-Two, 2K, Epic, Microsoft Gaming, Sony Interactive Entertainment, etc.), competitive leagues, anti-cheat vendors (BattlEye, Easy Anti-Cheat, Ricochet, FACEIT AC, Vanguard, etc.), and platform operators (Steam, PlayStation Network, Xbox Live, Battle.net, EA App, Epic Games Store, etc.) are each independent third parties with their own rules. Vertex Zens has no relationship with any of them and does not represent that the use of a controller emulator is permitted on their platform.

Whop and Mercury are our checkout, membership, and payments providers. They process every payment and every membership lifecycle event. Their terms of service and privacy policies apply in addition to ours when you transact through them.

Discord operates the chat, voice, and community infrastructure we use. Their terms of service and community guidelines apply when you participate in our server.

Resend (transactional email), Replit (hosting), and Google (analytics, ads) are additional infrastructure providers; their terms apply where relevant.

We are not responsible for any outage, action, decision, suspension, ban, fee, or change of policy at any third party, even where that change directly affects your access to or experience of our service.

16. Fair Play & Controller-Emulator Disclaimer

Vertex Zens scripts run exclusively on the Cronus Zen, which is a controller emulator. They do not modify game files, inject code, read game memory, manipulate network packets, draw overlays, or interact with anti-cheat services. They only refine the controller input signal that reaches the console or PC. Every action a script performs is something a skilled player could perform manually with a standard controller.

Many game publishers and competitive leagues prohibit third-party controller emulators in their rules of conduct, regardless of what the device technically does. It is your responsibility — not ours — to read and follow the Terms of Service of every game, platform, console, and competition you take part in before using a Cronus Zen and any script from this site.

Vertex Zens does not condone or support using our products in any environment where they are prohibited. See the Fair Play & Acceptable Use Policy for the full position.

17. Confidentiality of Paid Content

Paid-tier content is strictly for the personal use of the paying member. The following are strictly prohibited and treated as separate breaches: sharing, leaking, screenshotting for redistribution, recording, transcribing, summarizing for redistribution, or otherwise making paid content available to any non-member. Personal screenshots taken solely for your own reference on your own device are permitted; sharing them is not.

18. DMCA, Takedown & Reporting

If you believe content posted on or distributed through Vertex Zens infringes your copyright or other intellectual property right, send a written notice to vertexzens@gmail.com containing: (a) identification of the work; (b) identification of the allegedly infringing material with enough detail for us to locate it; (c) your contact details; (d) a statement that you have a good-faith belief the use is unauthorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act; and (f) your physical or electronic signature.

If you wish to report a leaked, mirrored, resold, or rebranded copy of a Vertex Zens script outside of our authorized channels, send a link, screenshot, or filename to vertexzens@gmail.com. Reports are reviewed in confidence.

19. Modification of Terms

Vertex Zens reserves the right to update these Terms at any time. The version posted on vertexzens.com is the version in force. For material changes we will provide reasonable notice — for example, by updating the effective date at the top of this page, by posting a notice on the site, or by sending an email to active members. Your continued use of the service after the effective date of any change constitutes acceptance of the updated Terms.

If you do not accept a change, you must stop using the service. Continuing to download, AI-tune, or otherwise use the service is acceptance.

20. Governing Law, Jurisdiction & Dispute Resolution

These Terms and any dispute arising out of or relating to them or the service are governed by the laws applicable at the principal place of business of Vertex Zens, without regard to its conflict-of-laws rules.

Before filing any formal claim, you agree to first contact vertexzens@gmail.com and attempt to resolve the matter informally for a period of at least thirty (30) days. Most disputes can be resolved this way.

Any unresolved dispute, controversy, or claim arising out of or relating to these Terms or the service will be resolved exclusively in the courts of competent jurisdiction at the principal place of business of Vertex Zens, and you consent to the exclusive personal jurisdiction and venue of those courts.

You and Vertex Zens each waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding to the maximum extent permitted by law. All claims must be brought in your individual capacity.

Any claim must be brought within one (1) year after the cause of action arose; thereafter the claim is permanently barred, to the maximum extent permitted by law.

21. Severability & Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to be enforceable, or, if it cannot be modified, severed from these Terms. The remaining provisions will continue in full force and effect.

Our failure to enforce any provision is not a waiver of that provision or of any other provision, and any waiver must be in writing to be effective.

22. Termination & Consequences

We may suspend or terminate your access to any part of the service — including your tier, your Discord roles, your Whop membership, your account, your IP, and your device — immediately and without notice if we determine, in our reasonable discretion, that you have breached these Terms, the EULA, or any related policy.

Consequences of termination for breach include, individually or in combination: revocation of all current and future tiers without refund; permanent ban from the Vertex Zens Discord server; permanent blacklist from all current and future Vertex Zens products, including free downloads; submission of evidence (watermark, download logs, IP, Discord ID, payment record) to the relevant payment processor, hosting provider, marketplace, or platform; DMCA takedown filings against any infringing copy; and, where the breach causes us material loss, civil legal action seeking damages, injunctive relief, and recovery of legal fees.

Upon termination, your license under Section 3 ends immediately. You must cease all use of any Vertex Zens script and AI output, and you must permanently delete every copy in your possession or control. Watermark records, log records, and any associated chargeback / fraud records survive termination indefinitely.

23. Survival

Sections that by their nature should survive termination — including Sections 3 (License Agreement), 4 (Intellectual Property Ownership), 5 (Scripts Library Rules), 6 (Watermark — Chain of Custody), 10 (All Sales Are Final), 11 (Chargebacks), 12 (No Warranties), 13 (Limitation of Liability), 14 (Indemnification), 18 (DMCA), 20 (Governing Law), 21 (Severability), 22 (Termination & Consequences), and 24 (Entire Agreement) — survive termination of your account or this agreement.

24. Entire Agreement

These Terms, together with the EULA, the Refund & Dispute Policy, the Fair Play & Acceptable Use Policy, the Privacy Policy, and any product-specific disclaimer presented at checkout or on a product page, constitute the entire agreement between you and Vertex Zens with respect to the service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, on the same subject.

No oral or written statement by any Vertex Zens staff member, moderator, contractor, or community member modifies these Terms.
